Thank you for using our products and services (“Services”). These are the Terms and Conditions of Use ("Terms") that apply between you and OneSeven TwoNine PTE LTD, a Singapore Corporation, referred to as “1729.com”, “1729”, “us”, “we”, or “our”. 1729 is the owner of the website 1729.com and all its related apps and subdomains (the “Site and Services” or “Services”). These terms of service (“Agreement”) set forth the legally binding terms for use of the Services (whether a “Contractor”, “Reader”, or “Task Creator”; these terms are defined below).
You accept these Terms by: (1) clicking to accept or agree to the Terms where this option is made available to you by 1729 for any Service; or (2) actually using the Services. Please read the Terms carefully: if you do not agree to these Terms, do not access or use the Services. If you use our Services on behalf of an organization, you agree to these Terms on behalf of your organization and represent that you have the authority to do so.
We may modify these Terms at any time and at our sole discretion. 1729 will provide notice of changes to the Terms by displaying notices or links to notices through the Services (for example, on this page). Your continued use of the Services will confirm your acceptance of the revised Terms. If you do not agree to the modified Terms, you should discontinue your use of the Services. Please look at the Terms regularly. In these Terms, the words “including” and “include” mean “including, but not limited to.”
GOVERNING LAW AND VENUE
These Terms and your access to and use of the Services will be governed by the laws of the Government of the Republic of Singapore (“Singapore”), without regard to conflict of law rules or principles that would cause the application of the laws of any other jurisdiction. Any dispute, controversy, claim or difference of any kind whatsoever arising out of or relating to these Terms of Service against or relating to 1729 or any indemnified party shall be referred to on an individual basis, and each waives the right to participate in a class or collective action with respect to the claim, and shall be resolved by arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC Rules”) for the time being in force, which rules are deemed to be incorporated by reference in this Section. There will be one (1) arbitrator and the language of the arbitration shall be English. Any dispute between the parties that is not subject to arbitration shall be resolved in the appropriate courts of Singapore.
GENERAL
1729 provides an online platform that helps connect independent contractors (“Contractor”, “Task Contractor”, “Completer”, or “Task Completer”) to entities that wish to financially support their work (“Creator” or “Task Creator”) as well as to individuals who view the public work published by Contractors (“Reader” or “Subscriber”), for example, through writing contests and related services. A “User” means any user of the Site or Service, and may include a Contractor, Reader and/or a Creator.
From time to time, 1729 itself or Task Creators will create and publish a task (“Task”). If created and published by 1729, it will be a “First Party Task”, whereas if created by an external Task Creator it will be a “Third Party Task”. Tasks will appear on the Site under a “task feed.” The format of a Task may vary over time, however, the current intent and practice of 1729 is to publish a task brief (“Task Brief”) which describes the Task as well as the opportunity for a Task Completer to receive compensation (the “Task Reward” or “Reward”) for submitting a response to a Task (“Task Submission”). Each potential Reward is specified on the Site at 1729.com along with the associated Task, and Rewards may be paid out in fiat currencies or cryptocurrencies. A Contractor acknowledges that providing a properly formatted Task Submission alone does not guarantee a Task Reward; a Reward is instead paid out to a subset of Contractors as detailed in the Task Brief and as determined by 1729 and/or the Task Creator in their sole discretion.
TASKS AND TASK REWARDS
Each Task Submission shall be governed by the specific rules and criteria for the applicable Task. Because the quality of Task Submissions cannot be judged on a purely objective basis, it is ultimately up to the sole discretion of 1729 and/or the Task Creator to judge which Task Submissions to a Task will qualify for a Task Reward. Criteria that will be considered in judging a Task Submission include, but are not limited to, originality, timeliness, impact, utility, quality of writing and succinctness and any other criteria specified in the Task Brief.
Task Rewards shall be governed by the specific rules and criteria for the applicable Task. Each Task may offer no Reward, a single Reward, multiple Rewards and/or a sliding scale of Rewards (i.e., $500 in BTC for the top Task Submission and $100 in BTC each for five runner-up Task Submissions). Further, 1729 and/or a Task Creator may determine that no Task Submission qualifies for a Reward. 1729 and/or a Task Creator may also unilaterally expand the scope of any Reward to include additional recipients, or increase the amount of the Reward provided that the Reward originally advertised in the Task Brief is not decreased. Rewards may be denominated in fiat currency, units of cryptocurrency, or paid in kind.
TASK SUBMISSIONS
All Task Submissions must be original works of the Contractor or otherwise properly attributed to the original author as specified in the Task Brief. If a Task Brief specifies that original work is required, any Task Submission found not to be the original work of the Contractor will be disqualified from receiving a Task Reward. If misattribution or plagiarism is found in the event that a Reward has already been paid, 1729 may request a claw back or exclude the Contractor from further use of the Site or Services. Within a Task Submission, a Contractor may reference the work of others, but in such cases, the Contractor must provide proper attribution to the source as well as make it clear which portion of the Contractor’s Task Submission is original and which portion is a reference to the work of others.
USER RESTRICTIONS
1729 expects all Users to be good citizens while using the Site and interacting with other Users. While not exhaustive, prohibited activities which demonstrate poor citizenship include transmitting any viruses, sending unsolicited messages to the Site and/or its Users, scraping and/or harvesting data from the Site or its Users, creating undue burden on our servers and network, and misrepresenting yourself while interacting with the Site or its Users. You agree that in the event 1729 concludes you have engaged in poor citizenship 1729 may unilaterally ban and/or exclude you from the Site and Services. You further agree that your continued use of the Site and/or interaction with Users after being banned or excluded, and any attempt to bypass such a ban or exclusion, is a material breach of this Agreement.
USER ACCOUNT
In order to use the Site, you must register for an account with 1729 (“Account”) and provide certain information about yourself as prompted by the Site registration form. You are responsible for maintaining the confidentiality of your Account login information and are responsible for all activities that occur under your Account. You agree to immediately notify 1729 of any unauthorized use, or suspected unauthorized use of your Account or any other breach of security which is based on your negligence. You agree that 1729 is not liable for any loss or damage arising from your failure to maintain the confidentiality of your Account, or to monitor your Account’s activities. You represent and warrant that: (a) all required registration information you submit for your Account is truthful and accurate, and (b) you will maintain the accuracy of such information, and (c) you are not a citizen, entity, or represent an entity or Subsidiary with any director, officer, or employee who is the target of any Sanctions Law, or is located, organized, or resident in a country that is, or whose government currently is, the target of countrywide sanctions imposed by any U.S. government Sanctions Authority or Government of the Republic of Singapore Sanctions Authority.
TASK REWARDS AND PAYMENTS
1729.com. Where 1729 initiates a Task, all Reward payments will be in the form of cryptocurrency unless otherwise noted in the applicable Task Brief. In order for a Contractor to receive a Reward, the Contractor must have a digital wallet and provide their address so that 1729 can deliver cryptocurrency to the Contractor.
Task Creators. Task Creators will similarly issue Rewards to Contractors via cryptocurrency, and unless otherwise specified the digital wallet address furnished by Contractors to 1729 will be sufficient to receive their Reward.
Cryptocurrency. Prior to using our Services, you acknowledge and agree that Bitcoin and other cryptocurrencies are highly volatile and there may be risk of loss when trading, holding, and transacting with cryptocurrencies. 1729 is not an exchange that provides services for trading, holding, or investing cryptocurrencies. 1729 also has no control over, or any liability for, any actions you may perform with your cryptocurrency outside 1729.com. 1729 is furthermore not responsible for any loss of your digital currency due to mishandling, theft, or any other factor outside of 1729’s direct control.
TASK CONTENT
Contractor agrees that any work product created during the performance and completion of a Task Brief is deemed a “work made for hire” for the benefit of 1729 to the extent permitted by applicable law. To the extent any such rights do not vest in 1729 under applicable law, Contractor hereby assigns or exclusively grants (without the right to any compensation) all right, title and interest, including all intellectual property rights, to such work product to 1729 unless otherwise explicitly specified in the Task Brief.
Title to any rights in the “work made for hire” owned by 1729 as a result of the completion of a Third Party Task will transfer to the Task Creator. To the extent any such rights do not vest in 1729 under applicable law, the Contractor hereby assigns or exclusively grants (without the right any compensation) all right, title and interest, including all intellectual property rights, to such work product to 1729 unless otherwise explicitly specified in the Task Brief.
LICENSE TO USER CONTENT
1729.com. Please be aware that you are granting 1729 an unrestricted license to use all content, in whatever form, that a User submits to the Site or exchanges with other Users through the Site. This license is worldwide, irrevocable, nonexclusive, royalty-free and fully paid. To the extent you do not own and/or lack the authority to grant such a license with respect to all or a portion of the content submitted, then only those portions of the content for which the User does own and/or have the proper authority shall be subject to the license. Because this license is unrestricted, 1729 will have the right to sublicense, reproduce, distribute, publicly display, prepare derivative works of, incorporate into other works, and otherwise use the content unless otherwise prescribed by law. While 1729 will endeavor to provide credit and attribution for reuse of any licensed content, you nonetheless agree to waive all moral rights associated with any content licensed to 1729.
Task Creators. Task Creators interested in creating their own Tasks and Rewards to be published on the site may email support@1729.com for instructions on how to create and implement a Task. If a Contractor receives a Reward from a Task Creator for the Contractor’s successful Task Submission in response to a Task Brief, the Contractor agrees that upon receipt of the Reward, ownership in the successful Task Submission is assigned to the Task Creator unless specified otherwise in the Task Brief, and Contractor shall retain a limited license to re-publish and make derivative works of the successful Task Submission. To the extent the Task Creator defines different, or conflicting, intellectual property rights between the Task Creator and Contractor in the applicable Task Brief, the intellectual property rights in the applicable Task Brief shall govern. Task Creators shall have no rights or claim to Task Submissions submitted in response to a Task Brief that do not receive a Reward.
INDEMNITY
If you have a dispute with one or more users of 1729, you release 1729, its affiliates and service providers, and each of their respective officers, directors, agents, joint venturers, employees and representatives from any and all claims, demands and damages (actual and consequential) of every kind and nature arising out of or in any way connected with such disputes. You agree to fully indemnify, defend, and hold harmless 1729 from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including attorney's fees on a full indemnity basis) arising from or relating to: (a) use of and access to 1729.com; (b) violation of any provision of these Terms of Use; or (c) violation of any third party right, including any copyright, property, or privacy right. This defense and indemnification obligation will survive the termination of these Terms of Service and use of 1729.com.
LIMITATION ON LIABILITY
To the maximum extent permitted under the law, in no event will 1729, its affiliates and respective shareholders, members, directors, officers, employees, attorneys, agents, or representatives be liable for any incidental, indirect, special, punitive, consequential or similar damages or liabilities whatsoever arising out of or in connection with the services, any performance or non-performance of the services, or any other product, service or other item provided by or on behalf of 1729 and its affiliates, including: lost or damaged data; any loss (whether direct or indirect) of profits, business, business opportunities, revenue, turnover, reputation or goodwill; damage to or interruption of any local area networks; the introduction of viruses, worms or other destructive programs or any other commercial or economic losses; any decision made or action taken by any party in reliance on 1729 (or its results or the 1729 contents); any delay, failure interruption or corruption of any data or other information transmitted in connection with use of 1729.com; and any inaccuracies, errors or omissions in connection with the Service and any 1729 content.
TAXES
Each Contractor shall be responsible for all taxes and fees arising from a Reward paid under this Agreement, and shall be responsible for all payroll taxes and fringe benefits of Contractor’s employees. Neither national, nor state, nor local income tax, nor payroll tax of any kind, shall be withheld or paid by 1729 or Task Creator on behalf of the Contractor or his/her employees. Contractor understands that it is responsible to pay, according to law, Contractor’s taxes.
RELEASE
All Users hereby waive and release 1729 and its officers and directors from each and every past, present and future dispute, claim, controversy, demand, right, obligation, liability, action and cause of action of every kind and nature that has arisen or arises directly or indirectly out of, or relates directly or indirectly to, Users’ use of the Site and/or Services, any interactions or transactions of between Users. This release and waiver shall not apply to Task Rewards offered by 1729 to Contractors in response to a Task Brief issued by 1729.
CHANGES
This Agreement is subject to occasional revision, and if 1729 makes any changes, it will notify Users by posting notice of the changes on the Site, and by email when 1729 deems necessary. Each User is responsible for providing 1729 with their most current email address. Any changes to this Agreement will be effective immediately for Users of the Site or Services upon the posting of notice of the changes. Continued use of the Site or Services following notice of such changes shall indicate acknowledgement of such changes and agreement to be bound by the terms and conditions of such changes.
ENTIRE AGREEMENT
This Agreement and any applicable Request constitutes the entire Agreement between Users and 1729 with respect to use of the Site and Services. 1729’s failure to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. If any provision of this Agreement is, for any reason, held to be invalid or unenforceable, the other provisions of this Agreement will be unimpaired and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law. A User’s relationship with 1729 is that of an independent contractor, and neither party is an agent or partner of the other. This Agreement, and a User’s rights and obligations herein, may not be assigned, subcontracted, delegated, or otherwise transferred by you without 1729’s prior written consent, and any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void. The terms of this Agreement shall be binding upon assignees. Singapore law, regardless of any conflicts of law, shall apply to all aspects of this Agreement including any disputes related to this Agreement.
